These Terms of Service (“Terms”) govern your access to and use of Csvio, a Shopify product-import application operated by Viv & Diya Co (“Csvio”, “we”, “us”, “our”). By installing Csvio from the Shopify App Store or otherwise accessing the Service, you (“Merchant” or “you”) agree to be bound by these Terms. If you do not agree, do not install or use the Service.
1. The Service
Csvio is a Shopify application that helps merchants prepare and manage product catalog imports and related workflows for use with their Shopify stores. We may update, improve, modify, or discontinue features from time to time.
2. Eligibility and account
To use Csvio you must:
- operate an active Shopify store and have the authority to install apps on it;
- be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater;
- not be located in a jurisdiction where using the Service is prohibited by applicable law.
Your Csvio account is tied to your Shopify shop domain. You are responsible for all activity that occurs under your shop’s installation of Csvio.
3. Subscription and billing
Some features of Csvio may require payment. If fees apply, they will be disclosed before you are charged. Billing for Shopify merchants is handled through Shopify to the extent applicable.
- Charges. You authorize applicable charges associated with your selected plan or usage.
- Refunds. Fees are not automatically refundable, and we do not offer a fixed refund window. If you were charged for something that did not work, contact support and we will review the request case by case. Where we do issue a refund, it is returned through the billing channel that charged you (for Shopify merchants, through Shopify). Nothing here limits a refund required by applicable law.
- Cancellation. You may stop using the Service at any time, including by uninstalling the app from Shopify where applicable.
- Changes. We may change pricing or available plans by giving reasonable notice.
4. Acceptable use
You may use Csvio only for lawful purposes and in accordance with these Terms. You agree not to:
- upload files containing malware, illegal content, or content that infringes any third-party intellectual property right;
- attempt to reverse-engineer, decompile, or extract source code from the Service;
- use the Service to import counterfeit, prohibited, or regulated goods into your store in violation of Shopify’s Acceptable Use Policy or applicable law;
- circumvent any technical restrictions or security measures we impose;
- resell or sublicense access to the Service to third parties without our prior written consent;
- use the Service in any way that damages, overloads, or impairs our infrastructure or that of our sub-processors.
5. Your content and data
You retain all ownership of the supplier files you upload and the product data therein. By using the Service, you grant us a limited, non-exclusive licence to host, use, reproduce, transmit, and process your content solely to provide and support the Service. We do not claim ownership of your content.
You represent and warrant that you have the right to upload and process the supplier files you submit through Csvio, and that doing so does not violate any confidentiality obligation or third-party intellectual property right.
6. Third-party services
Csvio may rely on third-party services, including Shopify and other service providers, to operate the Service. Your use of those third-party services may also be governed by their separate terms and policies.
7. Shopify platform compliance
Csvio is distributed through the Shopify App Store and is subject to Shopify’s Partner Program Agreement and App Store requirements. To the extent there is a conflict between these Terms and Shopify’s mandatory requirements as they apply to your use of the Service, Shopify’s requirements prevail.
8. Intellectual property
All software, algorithms, interfaces, and documentation comprising the Csvio Service are the intellectual property of Csvio and are protected by applicable copyright, trade-secret, and other laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it during an active subscription period.
The name “Csvio” and related trade dress are proprietary to Csvio. You may not use them in any way that implies endorsement or affiliation without our prior written consent.
9. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or suitable for every merchant, workflow, or use case. You are responsible for reviewing outputs and store changes before relying on them in production.
10. Limitation of liability
To the maximum extent permitted by applicable law, Csvio and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of revenue, loss of data, or damage to your Shopify store catalogue, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total subscription fees you paid to Shopify on account of Csvio during the three-month period immediately preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so the above limitations may not apply to you in full.
11. Indemnification
You agree to indemnify, defend, and hold harmless Csvio and its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) any content you upload or import through the Service; or (c) your violation of any applicable law or third-party right.
12. Termination
Either party may terminate the agreement formed by these Terms at any time. You may terminate by uninstalling the app. We may suspend or terminate your access if you violate these Terms, if required to do so by Shopify, or if we discontinue the Service, in each case with reasonable notice where practicable. On termination, your data is handled as described in our Privacy Policy.
We reserve the right to discontinue the Service at any time. If we do so we will provide reasonable notice where practicable and any refund required by applicable law.
13. Changes to these Terms
We may revise these Terms from time to time. We will post the updated Terms at csvio.app/terms and update the “Last updated” date above. Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
14. Governing law and disputes
These Terms are governed by the laws of India, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
15. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Csvio with respect to the Service and supersede all prior agreements.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force.
- No waiver. Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to an affiliate or in connection with a merger or acquisition.
